The Admission Document is a document prepared for the purposes of admission to trading on aim Italia – Mercato Alternativo del Capitale, a multilateral trading system organised and managed by Borsa Italiana S.p.A., of the ordinary shares (the "Shares") and warrants ("Warrants") of Neosperience S.p.A. (the "Company") and has been drawn up pursuant to the aim Italia Issuers' Regulation ("AIM Italia Issuers' Regulation"). The Admission Document and the transaction described therein do not constitute an offer to the public of financial instruments or an admission of financial instruments to a regulated market as defined by Legislative Decree no. 58 of 1998, as subsequently amended, by Consob Regulation no. 11971 of 14 May 1999 (the "Issuers' Regulation"), as subsequently amended and supplemented, and by the equivalent provisions of law and regulations applicable abroad. Therefore, it is not necessary to draw up a prospectus according to the schemes provided for by Community Regulation 809/2004/EC. The publication of the admission document must not be authorised by Consob pursuant to Community Directive 2003/71/EC, as subsequently amended, or any other rule or regulation governing the drafting and publication of prospectuses pursuant to Articles 94 and 113 of the Consolidated Finance Law, including the Issuers' Regulation. The information contained in this section of the website is disclosed pursuant to Articles 17 and 26 of the Aim Italia Issuers' Regulation.

The publication and distribution in other jurisdictions of the information contained in this section of the website, including the Admission Document, may be subject to legal or regulatory restrictions. Any person who comes into possession of this Admission Document must first verify the existence of such regulations and restrictions and comply with them.
